Terms of Service

Effective date: July 12, 2026.

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you (and the organization you represent, "Customer") and NextELN, a product of Excellgen, Inc. ("we", "us"). By creating an account or using the NextELN electronic lab notebook, inventory, and related services (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

2. Definitions

  • Workspace — an organization/tenant account and its members.
  • Content — notebook pages, tables, inventory, files, and other data you enter.
  • BYODB / BYO Storage — your own database (Aiven, Supabase, Neon, AWS) or object storage (Cloudflare R2, AWS S3) that you connect to the Service.
  • Managed Services — database or storage that we operate on your behalf and bill at cost plus a margin.

3. Accounts & eligibility

You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. Workspace owners may add members and assign roles. Academic/government use is offered free; commercial use may require a paid plan. You must be legally able to enter this agreement.

4. Plans, trials & billing

  • Free trial: new Workspaces begin on our shared infrastructure for a limited period or storage cap, whichever comes first (see the Pricing pages).
  • Paid plans & usage: Team/Enterprise plans and usage over the free tier (managed storage, traffic, AI) are billed as described in the Pricing & real costs page. Fees are non-refundable except where required by law. Taxes are your responsibility. We may change prices with notice; changes apply to the next billing cycle.
  • Payment: billing is processed by our payment provider (Stripe). Failure to pay may result in suspension.

5. Your content & data ownership

You own your Content. We claim no ownership over it. You grant us a limited license to host, process, and display your Content solely to operate the Service for you. When you connect BYODB/BYO storage, your Content lives in your provider account under your control. You are responsible for the lawfulness of your Content and for having rights to it.

6. Bring-your-own database & storage

Where you connect your own database or object storage, you are responsible for that provider account, its configuration, availability, backups, and costs. We access it only to operate the Service for you. See Data integrity, backups & liability.

7. Acceptable use

You will not misuse the Service. See the Acceptable Use Policy.

8. Intellectual property

The Service, software, and brand are our property or our licensors'. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service. Feedback you provide may be used without restriction.

9. Third-party & AI services

The Service integrates third parties (e.g. Vercel, Cloudflare, Stripe, Resend, database/storage providers, and AI providers such as Anthropic or OpenAI). Your use of AI features is subject to the applicable provider's terms; for Team/Enterprise you may supply your own AI key. We are not responsible for third-party services.

10. Warranties & disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL NOT BE LOST OR CORRUPTED.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Because data durability is provided by specialized database and storage companies (see the Data Integrity page), our liability for data loss is limited accordingly.

12. Indemnification

You will indemnify us against claims arising from your Content or your use of the Service in violation of these Terms or law.

13. Inactivity, archival, non-payment & termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, or to comply with law. On termination you may export your Content (Admin → Archive).

Inactivity archival (individual & team accounts). To free resources, if no member of an individual or team workspace signs in for more than five (5) weeks, we export the workspace's Content to a downloadable backup file and remove the live copy from active storage. Your Content is not deleted — you can download the backup or restore it (which re-imports your Content and reactivates the workspace) from Admin → Archive at any time.

Non-payment (companies). If a company account does not pay amounts due:

  • where its data is on our database/storage, we apply the same archival-to-backup + resource-freeing described above (restorable); and
  • where the company has migrated to its own database, we instead suspend access (viewing, adding, and editing) — its data on its own database is untouched — with an explanation shown in the admin area. Access is reactivated automatically once payment is received.

We may permanently delete backups and Content after a reasonable retention period following extended inactivity or account closure. We will give notice where practicable.

14. Changes

We may update these Terms; material changes will be notified. Continued use constitutes acceptance.

15. Governing law & contact

These Terms are governed by the laws of the jurisdiction stated in your order or, absent that, our principal place of business, excluding conflicts of law. Questions: support@nexteln.com.
